. Freedom of Contract People can agree freely on contract terms. Must be legal, fair, and voluntary. Not valid if unfair, illegal, or forced. 🔹 2. Material & Materiality Material = important term in the contract. Materiality = how much it affects the outcome. Big impact = material breach. 🔹 3. Reasonableness Act fair, like a normal person would. Courts use it to check if actions or terms are acceptable. Depends on the context and industry. 🔹 4. Good Faith Act honestly and fairly, without cheating. Applies during negotiation and performance. Builds trust and avoids abuse. Required by law in many countries. Example: warn about known problems before signing. 🔹 5. Arbitration Both sides agree to it. Neutral person (arbitrator) decides. It’s private and final. Faster and easier to enforce than court. 🔹 6. Mediation Neutral person (mediator) helps parties talk. Not binding – parties decide the solution. Private, safe, and helps prepare for court/arbitration if needed. 🔹 7.
